Ranjeev Kumar is an English qualified partner in the London office of Katten Muchin Rosenman UK LLP. He advises on all types of domestic and cross-border real estate transactions, including sales, purchases, lettings, developments, financings, joint ventures, business mergers and acquisitions, and real estate funds formation. His particular concentrations are secured and unsecured, domestic and cross-border real estate finance transactions, including restructurings.

Ranjeev regularly represents investors, developers, borrowers, banks and other financial institutions, and private equity, real estate and hedge funds.

Representative transactions include:

  • Domestic and international real estate finance, debt rescheduling and restructuring transactions including:
    • mezzanine funding of a $1 billion development of six residential towers in Doha, Qatar;
    • mezzanine financing of the acquisition of a health care portfolio for £1.4 billion;
    • the restructuring of the Welcome Break group of companies with a view to a £300 million refinancing;
    • mezzanine funding to facilitate a £104 million acquisition of four multi-let industrial estates;
    • a combined £100 million financing of the acquisition and development of data-centre properties;
    • mezzanine funding to facilitate a £92.5 million acquisition of the O2 Centre, Finchley Road, London;
    • a £70 million mezzanine financing of the acquisition of Kings Mall shopping centre, Hammersmith, London;
    • a HK$57 million financing of the acquisition of a portfolio of properties in Hong Kong;
    • a £29.5 million facility to facilitate the acquisition and development of exclusive residential units;
    • a £24 million funding of a pan-European holiday company with real estate interests in various countries including France, Spain, Italy, Portugal and Turkey;
    • a $20 million mezzanine funding of the acquisition and development of a luxury hotel and villas resort in St. Lucia;
    • a $5 million mezzanine funding to facilitate the acquisition of commercial real estate in New York;
    • a £14 million senior and £16 million mezzanine financing to facilitate the acquisition and development of a premium hotel at Gatwick Airport;
    • a £35 million senior and £16 million mezzanine financing to facilitate the acquisition and development of a premium hotel at Terminal 5, Heathrow Airport;
    • a £80 million senior and £40 million mezzanine refinancing of an office building in Central London;
    • a £60 million senior and £30 million mezzanine financing to facilitate the acquisition and development of a premium riverside hotel at Lambeth Hill, London; and
    • a £27 million facility to facilitate the acquisition and development of a premium hotel at Waterloo, London. 
  • Debt acquisitions including:
    • a £23.5 million debt acquisition and connected corporate acquisition and restructuring; and
    • a combined £13 million and €46 million loan acquisition, together with the acquisition of certain warrants and warrant loan rights.
  • Developments and joint ventures for clients such as Tishman Speyer and Brookfield including:
    • acting for Brookfield in relation to its acquisition from Great Portland Estates plc of a 50 percent interest in the 100 Bishopsgate Partnership for £43 million; and
    • acting for Tishman Speyer in its 50/50 joint venture with Commerzbank for the development of a new 37-storey tower in Frankfurt, including a €500 million development financing from EuroHypo. Ranjeev is experienced at negotiating shareholders' agreements, limited partnership agreements, deeds of novation and option agreements, operating agreements, administration agreements, property and development management agreements, pre-construction services agreements, and related documentation.
  • Facilities management for financial institutions such as Citigroup and Morgan Stanley.
  • Corporate real estate restructurings, acquisitions and disposals, and the real estate aspects of merger and acquisition transactions including:
    • acting for Hawker Beechcraft Corporation in its acquisition of Raytheon Aircraft Company for $3.3 billion; and
    • acting for McJunkin Red Man Holding Corp. in its acquisition of Transmark Fcx Group BV for €50 million.
  • Formation of funding vehicles and funds investment including:
    • the creation of a European funding vehicle for Vicis Capital Master Fund;
    • acting for Vicis Master Fund in its €8 million investment in EcoCentroGen Limited; and
    • acting for Vicis Master Fund in its €3 million investment in Vantage Eco Build Systems.
